1. Acceptance of Terms

These Terms of Service govern your access to and use of the CosMeal mobile application, website and related products and services (collectively, the “Services”) operated by Cosmio Technology Corp. ("we", "our", or "us"). By creating an account, accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, please do not access or use the Services.

2. The Service

CosMeal provides an artificial intelligence powered platform that assists users with meal planning, food-related recommendations and related features. You acknowledge that certain features of the Services may utilize artificial intelligence technologies, including third-party artificial intelligence models and services, to generate meal recommendations, nutritional information, recipes, insights or other content based on information provided by you (“AI Outputs”).

Due to the probabilistic nature of artificial intelligence technologies, AI Outputs may be inaccurate, incomplete, inconsistent or not suitable for your individual circumstances. You are responsible for reviewing and evaluating AI Outputs before relying on them.

We may modify, update, suspend or discontinue any part of the Services, including specific features or functionality, from time to time. We do not guarantee that any particular feature or functionality will always be available.

3. Eligibility & Your Account

You must be at least 18 years old (or the age of majority where you live) to create an account and manage a household. You agree to provide accurate, current and complete information when using the Services. If you are under the age of majority in your jurisdiction, you may only use the Services with the consent and supervision of your parent or legal guardian.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur through your account. You must notify us promptly if you believe your account has been accessed without authorization.

4. Subscriptions & Payments

Each subscription requires you to select a specific subscription tier through the App, App Store, Google Play Store or other platform through which you access the Services. Your subscription tier may include access to different features, usage limits and functionality.

If a trial subscription is offered, you agree that such trial may automatically convert into a paid subscription at the end of the trial period unless you cancel your subscription before the trial expires.

You shall pay the subscription fees agreed to when selecting your applicable subscription tier (“Subscription Fees”), as well as any additional fees and charges agreed to by you and CosMeal. Subscription Fees may be automatically charged for each renewal period until your subscription is cancelled.

If payment is processed through the App Store, Google Play Store or another third-party payment provider, your purchase and cancellation of your subscription may also be subject to the applicable provider’s terms.

Subscription Fees are non-refundable except where required by applicable law or the applicable third-party payment provider’s terms. Subscription Fees are exclusive of applicable taxes, which may be charged where required. Deleting your CosMeal account or removing the application from your device does not automatically cancel your subscription.

CosMeal may modify subscription plans, features or pricing from time to time. We will provide notice where required by applicable law.

5. AI Content & Health Disclaimer

Meal plans, recipes, nutrition values (such as calories and macros), recommendations and other AI Outputs are generated using artificial intelligence technologies and may be inaccurate, incomplete or inconsistent.

AI Outputs are provided for general informational purposes only and do not constitute medical, nutritional, dietary or other professional advice. CosMeal does not guarantee that any AI Output will meet your specific health, dietary, nutritional or personal requirements.

You are responsible for reviewing and verifying all AI Outputs before relying on them, including checking ingredients against your household’s allergies, dietary restrictions and health needs. Your use of CosMeal does not create a doctor-patient, dietitian-client or other professional relationship. You should consult a qualified professional before making health decisions, especially if you have a medical condition or specific dietary requirements.

6. Your Content

You retain all right, title and interest in content you submit, upload or provide through the Services, including recipes, notes, photos, preferences and other information (“User Content”).

You grant us a worldwide, non-exclusive, royalty-free license to access, use, host, store, reproduce and process User Content solely as necessary to provide, operate, maintain and support the Services, including generating AI Outputs and responding to your requests.

Except as expressly disclosed in our Privacy Policy or with your consent, we will not use your User Content or personal information to train or fine-tune artificial intelligence models.

Notwithstanding the foregoing, we may collect and use aggregated or de-identified information that does not identify you or any member of your household to improve, maintain, secure, analyze and develop the Services and related products and services.

You represent and warrant that you have all necessary rights to provide User Content and that your User Content does not violate applicable laws or third-party rights.

7. Our Intellectual Property

We own and retain all right, title and interest in and to the Services, including all software, applications, technology, algorithms, artificial intelligence systems, models, workflows, improvements, enhancements, modifications, designs, trademarks and related intellectual property rights, excluding your User Content.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable and revocable license to access and use the Services for your personal, non-commercial use. No rights or licenses are granted except as expressly provided in these Terms.

If you provide us with any feedback, suggestions, ideas or recommendations regarding the Services (“Feedback”), you grant CosMeal a perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate and commercialize such Feedback into the Services and our other products and services without restriction or compensation to you.

You agree to use the Services only in accordance with these Terms and applicable laws. You agree that you will not:

The Services may use, integrate with or rely on third-party products and services, including authentication providers, App Store and Google Play billing, artificial intelligence providers, hosting providers, analytics providers, grocery platforms and other third-party technologies (“Third-Party Services”).

Your use of Third-Party Services may be subject to separate terms and policies provided by such third parties. CosMeal does not control Third-Party Services and is not responsible for their availability, functionality, accuracy, security or performance. Third-Party Services may be modified, interrupted or discontinued at any time.

We may modify, replace or discontinue integrations with Third-Party Services from time to time.

10. Disclaimers

The Services and AI Outputs are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, We disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

CosMeal does not warrant that the Services will be uninterrupted, secure or error-free, that any defects will be corrected or that any AI Outputs, recommendations, nutritional information or other content generated through the Services will be accurate, complete or reliable.

Artificial intelligence technologies are probabilistic and may generate inaccurate, incomplete or unexpected results. You are responsible for independently reviewing and verifying AI Outputs before relying on them.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Cosmio Technology Corp. and its directors, officers, employees, contractors and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, loss of data, loss of goodwill or other intangible losses arising out of or relating to your use of the Services.

To the maximum extent permitted by applicable law, Cosmio Technology Corp.’s total liability arising out of or relating to these Terms or the Services will not exceed the greater of: (a) the amounts paid by you to CosMeal in the twelve (12) months before the claim arose; or (b) CAD $100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Termination

You may stop using the Services and delete your account at any time. Cancellation of your account does not automatically cancel any active subscription managed through a third-party payment provider.

We may suspend or terminate your access to the Services at any time if we reasonably believe that you have violated these Terms, misused the Services or created risk or potential harm to CosMeal, other users or third parties.

Upon termination, your right to access and use the Services will immediately end. Any provisions that by their nature should survive termination will continue to apply.

Following termination or deletion of your account, we may retain or delete User Content and other information in accordance with our Privacy Policy and applicable laws.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by and interpreted in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Where permitted by applicable law, any dispute, controversy or claim arising out of or relating to these Terms or the Services, including the interpretation, validity, breach or termination of these Terms, may, at the election of Cosmio Technology Corp., be resolved by final and binding arbitration administered by the Vancouver International Arbitration Centre (VanIAC) in accordance with its applicable rules. The seat of arbitration shall be Vancouver, British Columbia, and the language of the arbitration shall be English.

If arbitration is not permitted or enforceable under applicable law, the parties irrevocably attorn to the exclusive jurisdiction of the courts of the Province of British Columbia in respect of any dispute arising out of or relating to these Terms or the Services.

Nothing in this section prevents either party from seeking injunctive or equitable relief from a court of competent jurisdiction where necessary to protect its intellectual property rights, confidential information or other proprietary rights.

14. Changes & Contact

We may update these Terms from time to time. If we make material changes, we will provide notice where required by applicable law. Your continued use of the Services after updated Terms become effective means you accept the updated Terms.
